PURPOSE:To obtain a vibration damping metal plate having excellent plastic workability, heat resistance, weldability and toughness by uniformly dispersing many fine inclusions made by coating hard particles of metal between superposed metal plates, and specifying the amounts of diffused bonded parts of the coating metal to both plates. CONSTITUTION:Many fine inclusions 4' made by coating hard particles 4a' with metal and forming metal coating layer 4b' are substantially uniformly dispersed between both metal plates 2 and 3 to intruded into the plates 2, 3, and the coating metal for forming the layer 4b' is diffused in the plates 2, 3 to be formed between the plates 2 and 3.
